Scope and Contents

Georgia Code 22-1401(a) states: "No foreign (out of state) corporation shall have the right to transact business in the State until it shall have procured a Certificate of Authority to do so from the Office of Secretary of State." This series consists of the correspondence between the Corporations Division of the Office of Secretary of State and the company being investigated upon filing of a complaint to determine the qualifications of the corporation attempting to do business in Georgia. Often the companies had a conflict with name registration or failed to obtain a Certificate of Authority as required by law.
